About
Overseas Commerce Ltd. (hereinafter: the "Company") was incorporated in Israel in November 1967 as a private company limited by shares. In December 2016, the company's shares were listed for trade on the Tel Aviv Stock Exchange for the first time, and the company became a public company, as defined in the Companies Law,
5759-1999.
At the beginning of 2016, the group expanded its operations into the field of freight and container transportation and distribution, through the acquisition from a third party of a hazardous materials transportation and distribution business in Israel.
In September 2020, the company completed a transaction in which the end-customer cargo and freight transportation and distribution activity was integrated into Overseas Transportation and Distribution Ltd. ("Overseas Transportation"), a wholly-owned subsidiary of the company.
Currently, the main shareholders are the Emilia Development Group (~53%).
The company and its controlled companies (hereinafter together: the "Group") provide comprehensive "port-to-shelf" services, divided into 3 main operating segments:
A. Full container storage activity at cargo and container terminals: Provision of terminal services for full containers (containing goods of a single importer) prior to customs clearance, including the storage of containers in their entirety.
B. Container deconsolidation/stuffing-stripping activity at cargo and container terminals: Receipt of consolidated containers from the port (consolidations) combining goods of multiple importers and receiving them at the cargo terminal, unloading and deconsolidation of the containers, storage of the cargo (deconsolidated) in the group's warehouses located at the container and cargo terminals, and delivery of the cargo to customers after customs clearance.
C. Comprehensive logistics services: The core of this activity is the provision of storage services and additional logistics services, including storage and transit of goods and cargo in bonded warehouses prior to customs clearance and in free warehouses after customs clearance, temperature-controlled storage services for imported and locally produced goods, as well as value-added services
(labeling, goods marking, distribution kits, and the like).
The Group's operations are spread across the country: Ashdod in the south (in the port hinterland), the central region (Airport City and Ben Gurion Airport), and Haifa in the north (in the port hinterland).
The company operates facilities with a total area of approximately 412 dunams, of which approximately 309 dunams are open areas and approximately 103 thousand square meters are buildings used for storing goods.
Overseas holds H.L. Refrigeration and Operation Ltd. – a wholly-owned subsidiary (100%) – which operates a cold storage facility in the Kishon Port, as well as Overseas Transportation and Distribution Ltd. – a wholly-owned subsidiary (100%) – which engages in the transportation and distribution of goods and cargo.
